1. Parties and acceptance

These Terms of Service form a binding contract under the Indian Contract Act, 1872 between KlyONIX Tech Consulting Private Limited ("KlyONIX Tech"), Pollachi, Coimbatore, Tamil Nadu ("KlyONIX Tech", "we") and the organisation that creates a Brew93 workspace ("Customer", "you"). By creating an account, or by clicking to accept, you confirm you are authorised to bind your organisation.

Acceptance by electronic means is valid and enforceable under the Information Technology Act, 2000.

2. The service

Brew93 is a chat first CRM provided as a hosted subscription service, comprising the web application, the Android and iOS applications, and the AI Assistant. We may add, change or withdraw features. Where a change materially reduces core functionality, we will give at least 30 days notice.

3. Accounts and authorised users

• You are responsible for the accuracy of registration details and for keeping credentials secure.
• You are responsible for the acts and omissions of every user you invite.
• Access may not be shared with anyone outside your organisation, and a single user login may not be used by multiple people.
• You must notify us promptly of any unauthorised access.

4. Free trial

New workspaces include a 14 day free trial. No payment card is required to begin. If you do not subscribe before the trial ends, access is suspended and workspace data is retained for 90 days before deletion.

5. Plans, seats and fees

• Plans are billed monthly or yearly in advance.
• Each plan includes a stated number of users. Additional users are charged at the per user rate published on our pricing page.
• Launch pricing applies to your first year only and renews thereafter at the then current standard rate. We will give at least 30 days notice before a renewal price applies.
• A one time setup fee may apply. Where we state it is waived on yearly billing, that waiver applies only to yearly subscriptions.
• All fees are exclusive of GST and any other applicable taxes, which are charged in addition at the prevailing rate.

6. Payment and late payment

Invoices are payable on receipt unless otherwise agreed in writing. We may suspend access to a workspace where an invoice remains unpaid for 15 days after the due date, having first given notice.

7. Cancellation and refunds

You may cancel at any time from within the application or by writing to us. Cancellation takes effect at the end of the current billing period, and the service continues until then. Fees already paid are non refundable except where a refund is required under the Consumer Protection Act, 2019 or other applicable law, or where we have materially failed to provide the service.

8. Your data and our role

You retain all right, title and interest in the data you and your users put into Brew93 ("Customer Data"). We claim no ownership of it.

In respect of Customer Data we act as a Data Processor under the Digital Personal Data Protection Act, 2023, processing only on your documented instructions. You act as Data Fiduciary towards the individuals whose data you upload, and you confirm you have a lawful basis to collect and process it, including any consent required for WhatsApp communications.

We will assist you, so far as reasonably possible, in responding to requests from Data Principals and to any enquiry from the Data Protection Board of India. Our handling of personal data is described in the Privacy Policy, which forms part of these terms.

9. Data export and deletion

You may export Customer Data at any time during the subscription. On termination we retain it for 90 days to allow export, then delete or anonymise it, save where retention is required by law.

10. Acceptable use

You must not use Brew93 to:

• send unsolicited commercial messages, or messages in breach of TRAI regulations or the WhatsApp Business Messaging Policy
• store or transmit unlawful, defamatory or infringing content
• infringe intellectual property or privacy rights of any person
• attempt to gain unauthorised access, probe, scan or disrupt the service
• reverse engineer the service, or resell it without our written agreement
• upload material contravening Section 66 or Section 67 of the Information Technology Act, 2000

11. AI features

The AI Assistant and Gen UI generate output from your workspace data. AI output can be incomplete or wrong. You are responsible for reviewing AI generated content before relying on it for a business decision, a quotation or a communication to a customer. Brew93 uses open source AI models hosted privately on cloud infrastructure under our control. Customer Data is not used to train models for other customers or for any third party.

12. Availability and support

We provide the service on a commercially reasonable efforts basis and may carry out planned maintenance, giving notice where practicable. No uptime guarantee applies unless a written service level agreement is agreed on an Enterprise plan.

13. Intellectual property

Brew93, its software, design and trade marks remain the property of KlyONIX Tech. You are granted a non exclusive, non transferable, revocable right to use the service for your internal business purposes during the subscription. Any feedback you give us may be used without obligation to you.

14. Confidentiality

Each party will keep the other's confidential information in confidence and use it only to perform this agreement. This obligation survives termination by three years.

15. Warranties and disclaimer

We warrant that we will provide the service with reasonable skill and care. To the extent permitted by law, all other warranties, express or implied, are excluded. The service is not warranted to be uninterrupted or error free.

16. Limitation of liability

Neither party excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded by law. Subject to that, and to the extent permitted by law:

• neither party is liable for indirect or consequential loss, loss of profit, loss of business or loss of anticipated savings;
• our total aggregate liability in connection with the service is limited to the fees paid by you in the twelve months preceding the event giving rise to the claim.

17. Indemnity

You will indemnify us against claims arising from Customer Data that infringes a third party right or breaches applicable law, or from your use of the service in breach of clause 10.

18. Suspension and termination

We may suspend or terminate access where you materially breach these terms and do not remedy the breach within 15 days of written notice, or immediately where required by law or where continued access presents a security risk. You may terminate at any time under clause 7.

19. Force majeure

Neither party is liable for failure to perform caused by an event beyond its reasonable control, including internet or hosting provider failure, act of government, or natural disaster.

20. Changes to these terms

We may amend these terms and will post the amended version here. Where a change materially affects your rights, we will give at least 30 days notice. Continued use after that constitutes acceptance.

21. Governing law and disputes

These terms are governed by the laws of India. The parties will attempt in good faith to resolve any dispute by discussion. Failing that, the courts at Coimbatore, Tamil Nadu have exclusive jurisdiction.
